Wing Snob reserves the right to investigate any violations of these Terms and to take appropriate action, including suspension or termination of access, referral to law enforcement, and pursuit of legal remedies.

If your order is cancelled after payment has been processed, you will receive a full refund using the original payment method.

All prices displayed on the Site are in United States Dollars (USD) and are subject to change without notice. Prices do not include applicable taxes, delivery fees, or service charges unless explicitly stated. We strive to maintain accurate pricing on the Site; however, errors may occasionally occur. In the event of a pricing error, we reserve the right to cancel the affected order and notify you accordingly.

Subject to your compliance with these Terms, Wing Snob grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial purposes. This license does not include the right to:

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, INCLUDING THE FEDERAL TRADE COMMISSION ACT AND STATE CONSUMER PROTECTION STATUTES, WING SNOB AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL;
• PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SITE OR SERVICES;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS;
• CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SITE;
• INTERRUPTION OR CESSATION OF SERVICES;
• BUGS, VIRUSES, OR OTHER HARMFUL ELEMENTS TRANSMITTED TO THE SITE BY THIRD PARTIES.

IN NO EVENT SHALL WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR CERTAIN TYPES OF DAMAGES. IF YOU RESIDE IN SUCH A JURISDICTION, THE ABOVE LIMITATIONS MAY NOT FULLY APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL LEGAL RIGHTS.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its officers, directors, employees, agents, contractors, licensors, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your use of or access to the Site or services;
• Your violation of any provision of these Terms;
• Your violation of any applicable law, regulation, or the rights of any third party;
• Any User Content you submit to the Site;
• Your negligence, fraud, or willful misconduct;
• Any dispute between you and another user or third party arising from your use of the Site.

Wing Snob reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defenses. You shall not settle any such claim without Wing Snob's prior written consent.

12. Food Safety and Allergen Notice

Wing Snob takes food safety seriously and complies with applicable federal and state food safety laws, including regulations enforced by the U.S. Food and Drug Administration (FDA) and applicable state health departments. However, our food products are prepared in a kitchen environment that may handle common allergens including but not limited to: peanuts, tree nuts, milk, eggs, wheat, soy, fish, and shellfish.

Cross-contamination is possible. If you or a member of your household has a known food allergy or sensitivity, we strongly urge you to contact us directly before placing any order. Wing Snob expressly disclaims liability for allergic reactions or adverse health events arising from consumption of our products, except as required by applicable law.

13. Governing Law and Jurisdiction

These Terms of Service and any dispute arising out of or related to them, the Site, or our services shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Wing Snob's principal place of business is located, without regard to any conflict of law principles that would require the application of the laws of a different jurisdiction.

Subject to the dispute resolution provisions set forth in Section 14 below, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in the applicable jurisdiction where Wing Snob operates for the resolution of any disputes not subject to arbitration. If Wing Snob operates in a state with specific consumer protection statutes, such as California's Consumer Legal Remedies Act (CLRA) or other state-specific laws, nothing in these Terms waives rights you may have under such statutes.

Wing Snob operates in compliance with all applicable federal consumer protection laws enforced by the Federal Trade Commission (FTC), including the FTC Act (15 U.S.C. § 45), which prohibits unfair or deceptive acts or practices in commerce.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact Wing Snob at [email protected] and attempt to resolve the dispute informally. We will use reasonable efforts to resolve the dispute within thirty (30) calendar days of receiving your written notice. If the dispute is not resolved within this period, either party may proceed with the formal dispute resolution process described below.

14.2 Binding Arbitration

EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT OR REQUESTS FOR INJUNCTIVE OR EQUITABLE RELIEF TO PREVENT INTELLECTUAL PROPERTY INFRINGEMENT, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR YOUR USE OF THE SITE OR SERVICES, SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION.

Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (available at www.adr.org), as modified by these Terms. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this arbitration clause shall be null and void.

14.4 Opt-Out

You have the right to opt out of binding arbitration within thirty (30) days of first accepting these Terms by sending a written notice to us at [email protected] with the subject line "Arbitration Opt-Out." If you opt out, all disputes shall be resolved exclusively in the courts specified in Section 13.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or services. Wing Snob reserves the right, in its sole discretion, to suspend or terminate your access to all or any part of the Site or services at any time, with or without cause, and with or without notice, effective immediately.

Grounds for termination may include, without limitation:

• Your breach of any provision of these Terms;
• Fraudulent or illegal activity;
• Abusive or threatening behavior toward Wing Snob staff or other users;
• Repeated submission of fraudulent orders or chargebacks;
• Any conduct that we determine, in our sole discretion, to be harmful to our business, users, or the public.

Upon termination, your right to use the Site and services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property provisions, disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions.

17. Severability

The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

The failure of Wing Snob to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any term shall only be effective if given in writing and signed by a duly authorized representative of Wing Snob, and shall not be deemed a continuing waiver of such term or a waiver of any other term.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by Wing Snob on the Site, constitute the entire agreement between you and Wing Snob with respect to your use of the Site and services, and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, between you and Wing Snob relating to the subject matter hereof.

In the event of any conflict between these Terms and any other agreement you may have with Wing Snob, these Terms shall control unless such other agreement expressly and specifically overrides these Terms.

19. Force Majeure

Wing Snob shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, government orders or restrictions, labor disputes, supply chain disruptions, power failures, internet outages, terrorism, or civil unrest. In such events, Wing Snob's obligations shall be suspended for the duration of the force majeure event.
